These terms govern how Defectivewebsite delivers server stress tests, structural code audits, and backend repair work for corporate clients. Read them carefully before commissioning an engagement.
Defectivewebsite provides software quality assurance services including load testing, stress testing, structural code analysis, and backend architecture repair for corporate portals. Each engagement is defined by a written statement of work that specifies the systems to be tested, the testing methodology, and the deliverables. Work outside the agreed scope requires a separate written agreement.
The client must provide accurate access credentials, environment documentation, and a designated technical contact for the duration of the engagement. The client is responsible for obtaining any necessary permissions to test third-party systems and for ensuring that testing activities comply with applicable laws and vendor agreements. Delays in providing access or information may extend the project timeline.
Stress tests are conducted against environments specified in the statement of work. While we take precautions to prevent service disruption, load testing carries inherent risk to system performance. The client should schedule tests during approved maintenance windows and maintain current backups. Defectivewebsite is not liable for damage to systems that fail during testing due to pre-existing defects.
Deliverables include test reports, defect logs, code analysis summaries, and repair recommendations as specified in the statement of work. The client must review deliverables within fourteen business days of receipt and provide written acceptance or a list of deficiencies. Unaddressed deliverables are considered accepted after the review period expires.
Both parties agree to keep confidential any non-public information disclosed during the engagement, including source code, system architecture, test results, and business data. Confidential information may be shared only with employees and contractors who need it to perform the work and who are bound by similar confidentiality obligations. This clause survives the termination of the engagement.
Pre-existing intellectual property remains with its respective owner. Reports, defect analyses, and recommendations prepared specifically for the client become the client's property upon full payment. Defectivewebsite retains the right to use general methodologies, testing tools, and anonymized benchmark data in future engagements.
Defectivewebsite's aggregate liability for any claim arising from an engagement is limited to the fees paid for that specific engagement. Neither party is liable for indirect, incidental, or consequential damages, including lost revenue, lost data, or business interruption. This limitation applies regardless of the legal theory on which the claim is based.
Either party may terminate an engagement with fourteen days written notice. If the client terminates for convenience, fees for work completed up to the termination date remain payable. Defectivewebsite may suspend work if the client fails to meet payment obligations or materially breaches these terms without remedying the breach within seven days of written notice.
Defectivewebsite may revise these terms from time to time. Updated terms apply to engagements that begin after the revision date. Clients with active engagements will be notified of material changes in writing. Continued use of our services after a revision constitutes acceptance of the updated terms.
These terms are governed by the laws of Western Australia. Disputes are subject to the exclusive jurisdiction of the courts of Western Australia.
